The agreement between you and Disclose & Close, LLC.

Version 4.0 · Effective 20 September 2026 · Last updated 20 September 2026

1. About Disclose & Close

Disclose & Close, LLC ("Company," "we," "us," or "our") operates the website and platform at discloseandclose.com (the "Platform") as a Georgia technology company. The Platform serves Georgia residential home sellers — whether or not you are working with a real estate agent — and offers:

Company is not a law firm. Company does not employ lawyers to represent you. Company does not review, approve, supervise, direct, or evaluate the legal services of any attorney.

2. What This Platform Is — Matching and Advertising, Not a Referral Service

2.1 Matching is not a recommendation

Where the Platform matches you with one or more participating attorneys, that match is generated from neutral, objective criteria only — such as the county in which your property is located, the attorney's stated practice area, and the attorney's stated availability. A match is not an assessment of any attorney's competence, experience, reputation, results, or suitability for your matter, and is not a statement that one attorney is better than another.

We do not vouch for, endorse, certify, rate, rank, or recommend any attorney. We do not tell you which attorney to choose. We do not tell you that you need an attorney at all. Whether to engage a lawyer, and which lawyer, is entirely your decision, and you are free to engage any licensed Georgia attorney whether or not that attorney participates in our Platform.

2.2 We are not paid for your engagement of any attorney

Disclose & Close does not receive, and will not accept, anything of value from any attorney in exchange for your engaging that attorney, or in exchange for being matched with, introduced to, or connected with you. Specifically:

This structure exists so that participation in the Platform is consistent with the Georgia Rules of Professional Conduct governing lawyer advertising, including the prohibition on a lawyer giving anything of value to a person for recommending the lawyer's services. Every participating attorney remains independently responsible for their own compliance with those Rules.

2.3 The attorney is independent

Each participating attorney is an independent professional who practices in their own firm, sets and collects their own fees, uses their own engagement letter, exercises their own independent professional judgment, and is solely responsible for the legal services they provide. Disclose & Close has no authority over any attorney's legal work and does not supervise it. Disclose & Close is not responsible or liable for any act, omission, advice, error, or outcome of any attorney, whether or not that attorney participates in the Platform.

3. No Legal Advice — No Attorney-Client Relationship

Nothing provided by Disclose & Close — including the disclosure drafts, the Pre-Consultation Intake Preparation Package, the Seller Prep Package, the intake form, educational content, Platform communications, email correspondence, or any other materials — constitutes legal advice of any kind.

No attorney-client relationship is formed between you and Disclose & Close at any point, and none will ever form. Any attorney-client relationship you may form is exclusively between you and the independent, licensed Georgia real estate attorney whom you choose to engage. That engagement is separately documented by the attorney's own engagement letter and fee agreement, which you sign with the attorney directly. Disclose & Close is not a party to that relationship and has no responsibility for the legal services provided by any attorney.

Information you provide to Disclose & Close is not protected by attorney-client privilege. Privilege attaches only to communications with a licensed attorney you engage directly. See our Privacy Policy.

You should not rely on any content from this Platform as a substitute for the advice of a qualified, licensed attorney in your jurisdiction. Real estate transactions involve complex legal obligations that vary by state, by county, and by property. We strongly encourage every user to consult with a licensed Georgia real estate attorney before listing, negotiating, or closing any property transaction.

4. The Document Tool — Important Limitations

Our document generation tool (the "Tool") is designed to assist you in organizing and presenting information about your property in a structured format consistent with the GAR F301 disclosure template. The Tool is a document generation service. It is not a home inspection service, a legal review service, a title examination service, or a substitute for professional legal counsel.

The Tool processes only the information you enter into the intake form. It has no ability to independently discover, detect, identify, or assess conditions, defects, hazards, title issues, encumbrances, legal obligations, or any other facts about your property that you do not affirmatively disclose in your responses. Disclose & Close makes no representation that the Tool will identify every disclosure obligation applicable to your property or jurisdiction.

Specifically, and without limitation, the Tool cannot and does not:

Automated technology, including the technology underlying the Tool, may produce incomplete, inaccurate, or outdated outputs. Disclose & Close does not warrant that the Tool is free from errors, omissions, or limitations. All outputs are required to be reviewed by a licensed Georgia real estate attorney before use in any real estate transaction.

5. Output Forms: F1 and F2

Disclose & Close produces two distinct output forms. Each is generated at a different stage and each has a different scope.

5.1 F1 — Seller's Disclosure Draft (free)

F1 is provided free of charge. F1 is a scrivener-format disclosure draft that inserts your own responses into the GAR F301 template fields. F1 is designed so that you can download the file and upload it to Zillow, HouseList, or other residential listing platforms that accept a seller's disclosure.

F1 does not contain any characterization of whether your disclosure is adequate, complete, sufficient, or "clean." F1 does not contain any gauge, dial, meter, score, rating, or visual that characterizes your legal situation. F1 does not contain case law, statutory citations (other than the GAR F301 template identifier), or legal commentary. F1 is purely a format-conversion tool: it takes your inputs and presents them in the template fields. Independent legal review of F1 by a licensed Georgia real estate attorney is required before using F1 in any real estate transaction.

5.2 F2 — Pre-Consultation Intake Preparation Package ($75)

F2 is generated only if you choose to schedule a consultation with a participating attorney and pay the $75 Pre-Consultation Intake Preparation Package fee (alongside the attorney's separately billed $75 consultation fee). F2 is intake preparation material produced for your upcoming attorney consultation. F2 consists of two components:

F2-Client — A client-facing document delivered to you. F2-Client contains (i) a recap of your intake answers, (ii) a neutral count-based "Preparation Profile" indicator showing the number of items identified for discussion during your consultation, and (iii) a list of discussion items organized for efficient use of your consultation time. F2-Client does not contain any legal characterization, any adjective assessing your disclosure, any conclusion about whether your situation is "straightforward" or "clean," any legal research, or any case law. F2-Client is preparation material, not legal advice, and is not a determination of whether your disclosure is complete or adequate.

F2-Attorney — A separate appendix delivered only to the attorney with whom you scheduled the consultation. F2-Attorney contains context and reference material for the attorney's independent review and exercise of professional judgment. F2-Attorney is never delivered to you and is not part of the $75 product you are purchasing.

The "Preparation Profile" indicator in F2-Client is a neutral counter of discussion items generated by your intake. It is not a measurement of legal risk, disclosure adequacy, or any other legal characteristic of your situation. It does not and cannot tell you whether your disclosure is "clean," "clear," "low risk," or otherwise. Every page of F2-Client bears a banner and a watermark stating that F2-Client is preparation material and not legal advice.

5.3 Release of F2-Client

F2-Client is released to you after (a) the attorney with whom you scheduled the consultation has been given the opportunity to review F2 and to flag any content for correction, or (b) the expiration of a 24-hour attorney-review window, whichever is earlier.

5.4 Your Attorney, Not Ours

The attorney you engage through the Platform is your attorney, not ours. F2 does not substitute for that attorney's independent professional judgment. Your attorney will review your file, exercise their own professional judgment, and advise you during the consultation. Nothing in F2-Client is legal advice from Disclose & Close.

6. Your Responsibility for Accuracy and Completeness

You are solely responsible for the accuracy, completeness, and truthfulness of all information you provide to the Platform. Real estate disclosure laws in Georgia and other states require sellers to disclose all known material facts. By using this Platform, you represent and warrant that you are providing complete and accurate information to the best of your knowledge.

Disclose & Close is not responsible for any legal consequences, claims, lawsuits, damages, penalties, or other liabilities arising from your failure to disclose material facts, whether or not those facts were addressed in the intake form or reflected in any Platform output.

State disclosure laws hold sellers — not third-party technology platforms — responsible for disclosure compliance. Your use of this Platform does not satisfy, replace, or diminish your independent legal obligations as a seller.

7. How You Pay — Separate Transactions

Disclose & Close and any attorney you engage are separate businesses. You pay each of us separately, on separate merchant accounts, for separate services. No money ever passes between us with respect to your legal services.

7.1 F1 Seller's Disclosure Draft — Free

The F1 Seller's Disclosure Draft is provided at no charge. You pay nothing for it, no payment method is required to obtain it, and no attorney is involved in it. Because no fee is charged, no part of any fee is paid to any attorney in connection with F1. If you later choose to engage an attorney, whether or not through the Platform, that is a separate transaction with the attorney and not with Disclose & Close.

7.2 $75 Pre-Consultation Intake Preparation Package (F2) — to Disclose & Close; and $75 Attorney Consultation — to the Attorney

If you choose to schedule a consultation with a participating attorney, you will see two distinct line items at checkout, each with its own merchant of record and each settling to a separate merchant account:

7.3 $499 Seller Prep Package — Paid to Disclose & Close (Non-Contingent)

If you proceed with a Georgia residential real estate transaction and engage a participating attorney for closing representation, Disclose & Close separately charges a $499 Seller Prep Package fee. This $499 is paid to Disclose & Close, not to any attorney, and is non-contingent on whether any closing occurs.

The Seller Prep Package is a single, non-legal platform product spanning the pre-closing lifecycle of your transaction, in two phases:

(a) Pre-contract deliverables. Before you accept a purchase contract, Disclose & Close delivers updating of your disclosure to reflect anything that changed between listing and contract, preparation of F2-Attorney materials for the closing attorney (where you have elected the consultation tier), organization of your intake file for the closing attorney, and a property and transaction summary document. These are made available to you in-app as each is completed and are fully delivered, and therefore fully earned, before you accept any purchase contract.

(b) Post-contract, pre-closing coordination services. After you accept a purchase contract, Disclose & Close delivers attorney-scheduling coordination with the attorney you have retained, routing of documents between you and the attorney, coordination with any independent non-lawyer title abstractor you use, a pre-closing seller-side checklist and reconciliation of your own transaction items, and logistical handoff of your file to the closing attorney on or before the closing date. These coordination services are performed by Disclose & Close, not by any attorney, and none of them is a legal service or a closing service.

When the $499 is earned and non-refundable. The pre-contract portion is fully earned and non-refundable at the moment Disclose & Close makes those deliverables available to you in-app. Your obligation to pay the full $499 vests at contract acceptance, and the full $499 is non-refundable from that point forward. The post-contract coordination services are earned progressively through the milestones in subsection (b). The $499 is non-contingent on whether your transaction closes: we earn it by delivering the Seller Prep Package services to you, not by any transaction closing. If your deal terminates at inspection, in negotiation, at appraisal, or at any stage before closing, Disclose & Close will still perform specific wind-down deliverables — returning your completed intake file and disclosure materials to you for your next buyer, sending a transaction-closeout summary to your closing attorney, delivering a seller-side accounting of the coordination work performed, and preserving your Platform record so you can re-use your Seller Prep Package on a subsequent contract without re-paying — and the full $499 remains earned and payable.

Delivery. Each discrete deliverable is "delivered" when Disclose & Close makes it available to you through the Platform, consistent with Section 5.

Billing timing. Billing is locked to one of two mechanisms, determined by your closing attorney's pre-agreement with Disclose & Close:

We will inform you in writing, before you authorize the $499, which option applies to your matter. The $499 is not a closing fee, a legal fee, or a referral fee. It is a fee for a technology and platform-services product Disclose & Close delivers to you, and it is not a legal service.

7.4 $1,500 Closing Representation — Paid Directly to the Attorney

If you engage a participating attorney for closing representation, the attorney bills you directly for the attorney's own flat closing fee of $1,500 (or such other fee as you and the attorney separately agree). You will sign the attorney's own engagement letter before the attorney performs any legal work. The fee is paid directly to the attorney and settles into the attorney's own account in accordance with Georgia Rule 1.15. Disclose & Close does not collect, hold, remit, or share in any part of it.

7.5 No Money Flows Between Us

For the avoidance of doubt: (i) Disclose & Close never collects any attorney fee. (ii) No attorney ever collects any Disclose & Close fee. (iii) Disclose & Close never remits money to any attorney for any legal service, and never pays any attorney for any client. (iv) No attorney ever pays Disclose & Close for any client, matter, or engagement. (v) You will always see two distinct transactions — one with Disclose & Close for our products, and one with the attorney for the attorney's legal services.

8. Title Services

Preliminary title services, where offered through the Platform, are performed by independent non-lawyer title abstractors. Such services are not performed by Disclose & Close and are not performed by any participating attorney. A preliminary title review is not a title insurance commitment and does not guarantee a clean or marketable title. You should obtain formal title insurance through a licensed title agency as part of your closing process. Any title abstractor fee is paid by you directly to the abstractor and is not split between Disclose & Close and any attorney.

9. Limitation of Liability

In no event shall our total liability to you for direct damages exceed the fees you have paid to Disclose & Close in connection with the specific service giving rise to the claim, except as otherwise required by applicable law.

Nothing in this Section 9 operates to limit any liability that cannot be limited under Georgia law, including any liability for gross negligence, willful misconduct, or fraud.

10. Indemnification (User Content Representations Only)

You agree to indemnify, defend, and hold harmless Disclose & Close and its officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

For the avoidance of doubt, your indemnification obligations do not extend to claims arising from the adequacy, quality, or legal sufficiency of any Platform product, any Tool output, or any marketing or service description of the Platform. You are not indemnifying Disclose & Close against the adequacy of our own product.

11. No Warranties

12. State-Specific Disclosure Laws

Disclosure requirements vary significantly by state and may vary by county, municipality, or property type. The Tool is designed to reflect the GAR F301 template at the Georgia state level and may not account for all local requirements applicable to your property. Users in Georgia should engage a licensed Georgia real estate attorney to review all disclosure materials before use in any real estate transaction.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules. Any dispute arising under or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Georgia, and you consent to the jurisdiction and venue of such courts. Either party may, at its option, propose voluntary non-binding mediation before filing suit, but voluntary mediation is not a mandatory prerequisite to litigation.

14. Assent

These Terms are binding on you only if you affirmatively indicate your assent. At the point of account creation, before you access any Platform product, you will be presented with a checkbox adjacent to a link to the then-current version of these Terms. The checkbox is not pre-checked. By affirmatively checking the box and proceeding, you represent that you have read, understood, and agreed to these Terms as published at that time. Disclose & Close will record, for each user account, the version accepted, the date and time of acceptance, and the IP address from which acceptance was received. You may request a copy of your acceptance record using the contact details in Section 16.

If these Terms are materially modified after your acceptance, we will present the revised Terms at your next login or before your next purchase, and require a new affirmative acceptance before you proceed.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted to the Platform with a revised effective date and last-updated date. Material modifications trigger a re-acceptance requirement under Section 14. Continued use of the Platform after a non-material modification constitutes your acceptance of the revised Terms. We maintain a version history and will make prior versions available on request.
