What we are
Disclose & Close is a Georgia technology and document-preparation company. We give home sellers a free, plain-English intake that produces a seller's property disclosure draft formatted to the GAR F301 template. We do not interpret law, advise sellers, or evaluate their answers. Our platform records facts; every legal judgment belongs to the attorney.
A meaningful share of sellers who complete that intake realise they want a lawyer. Today most of them do not know one. That is the moment your firm becomes visible to them.
Advertising, not a referral — and why we are strict about it
Georgia Rule of Professional Conduct 7.3 prohibits a lawyer from giving anything of value to a person for recommending the lawyer's services, while permitting a lawyer to pay the reasonable cost of advertising. That line runs straight through the middle of what a platform like ours can be, so we have built on the correct side of it deliberately:
- We do not recommend you. We do not rate, rank, score, certify, endorse, or vouch for any attorney. We make no claim about your competence, your experience, or your results.
- Matching runs on neutral criteria only — county, stated practice area, stated availability. Never quality, and never anything the seller could read as our opinion of you.
- The seller chooses. We present participating attorneys. The decision to engage, and whom to engage, is the seller's, and they are free to use any Georgia attorney, on our platform or not.
- Nothing of value changes hands for an engagement. No referral fee, no finder's fee, no success fee, no per-client or per-matter charge, and no percentage of anything you bill. Ever.
- Any fee you ever pay us would be the reasonable cost of advertising and platform services, priced the same whether you sign ten clients from it or none.
We are stating this plainly because you will have to satisfy yourself and your own counsel that participating is consistent with your obligations. We would rather you interrogate the structure now than discover a problem in it later.
What you receive
- A seller who has already done the work. Eleven sections of property disclosure, completed, with the items the seller flagged for discussion marked out.
- A preparation package before the call. Delivered to you and to the seller ahead of a scheduled consultation, so the first forty-five minutes are spent on judgment rather than on data collection.
- A seller who understands what you are and what we are not. Our disclosures say plainly, in the purchase path, that we are not a law firm and that their attorney-client relationship forms with you.
What it costs you
Nothing, today.
No participation fee. No subscription. No per-matter charge. No share of anything you bill. You never pay us, and we never pay you.
If we ever do charge participating firms, it would be for advertising and platform access, disclosed in advance. What it will never be is an amount that rises because a particular seller engaged you, or that is calculated from what you earn. That is the line Georgia Rule 7.3 draws, and we intend to stay well clear of it.
How we actually make money
You should know this before you sign anything, and we would rather tell you than have you wonder.
The seller pays us. You do not. Our revenue is per transaction, from the seller, for our own non-legal products: $75 for the Pre-Consultation Intake Preparation Package if they book a consult, and $499 for the Seller Prep Package if they go to closing. Ten sellers going to closing means we are paid ten times, and it means you are paid ten times by those same ten sellers. Two separate businesses being paid by the same customer for two different things.
What never happens is money moving between your firm and ours. We do not take a cut of your $1,500. You do not pay us for the client. Our fee does not come out of yours, and yours does not come out of ours. If our commercial interests ever pulled against that separation, the separation wins — it is the only reason a non-lawyer can operate this platform at all.
How the money actually moves
Each engagement is two independent transactions with two separate merchants of record:
The seller pays you
For your legal services, at the price you set, under your own engagement letter, through your own payment rails, into your own operating or trust account in accordance with Georgia Rule 1.15.
We never collect, hold, remit, or share in any part of your fee.
The seller pays us
For our intake preparation and coordination products, which are technology and document-preparation services, not legal services.
You never collect, hold, or share in any part of our fee.
The seller sees two line items, completes two checkouts, and receives two receipts from two different businesses. This is deliberate. It is what keeps the arrangement clear of Georgia Rule of Professional Conduct 5.4(a), and it is not something we are willing to simplify for convenience.
You set your own fees
The network publishes indicative pricing so sellers know roughly what to expect — a 45-minute consultation and flat-fee closing representation. Those are your prices, not ours. You set them, you publish them, you bill them, and you collect them. We do not set, negotiate, discount, or guarantee any fee you charge, and we do not hold you to a price you did not choose.
Your independence
- Your professional judgment is yours. We do not direct, review, or interfere with legal work.
- Your client is your client. The attorney-client relationship forms between you and the seller, not with us.
- You decide whom to take on. Nothing obliges you to accept any particular matter.
- Confidentiality and conflicts are yours to run, under your own obligations.
- You can leave the network at any time.
What we ask of you
- An active license to practise law in Georgia, in good standing, with real estate experience.
- Your own engagement letter, delivered to the client before any legal work begins.
- Your own billing and payment rails, so client funds never touch our accounts.
- Published, predictable pricing for the two service types, so sellers can decide before they commit.
- Responsiveness. A seller introduced to you who hears nothing is worse than no introduction.
Where this stands
Disclose & Close is pre-launch. We are looking for a small number of founding Georgia attorneys to help shape how this works before it opens to the public. The partnership agreement has been through four rounds of legal review, and we would expect your own counsel to read it closely.
Talk to us
Email hello@discloseandclose.com with your firm name, your bar number, and the counties you close in, and we will send the agreement and set up a call.
Email us about the networkThis page describes a proposed business arrangement between Disclose & Close, LLC and independent law firms. It is not legal advice to you and is not an offer of employment or partnership. Disclose & Close is not a law firm and does not practise law. Any attorney considering participation should review the agreement with their own counsel and satisfy themselves independently as to their obligations under the Georgia Rules of Professional Conduct.
